1. Acceptance of Terms

These Terms and Conditions, together with any documents expressly incorporated by reference (collectively, the “Agreement”), set forth the legally binding terms and conditions under which you (“Client,” “User,” or “You”) may use the Site and the services offered.

1.2 Binding Effect

By accessing or using the Site or engaging in any Services (including payment), you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to all the terms, you must not access or use the Site or Services.

2. Description of Services

The Company provides professional academic and licensure support services. These services are categorized as follows:

1. Elite QBank & Study Resources (“QBank Services”): Provision of high-yield study materials, question banks (QBanks), and exam preparation guides.

2. Official Score Modification & Pass Guarantee (“Modification Services”): Confidential intervention services aimed at remediating a failing or unsatisfactory official exam score to a passing or higher score.

3. Direct Certification & Licensure (“Direct Services”): Confidential services aimed at achieving official professional licensure or certification without the requirement of sitting for the examination.

All Services, particularly Modification Services and Direct Services, are provided on a confidential, case-by-case basis and are subject to separate, explicit agreements following a mandatory consultation.

3. Client Obligations and Representations

3.1 Eligibility and Compliance

You represent and warrant that you are at least 18 years of age and possess the legal right, authority, and capacity to enter into this Agreement. You agree to provide current, complete, and accurate information during the consultation and payment process.

3.2 Prohibited Use

You agree not to use the Services or the Site for any illegal or unauthorized purpose, nor will you violate any laws in your jurisdiction. Specifically, you agree not to:

• Use the QBank Services for commercial resale or distribution.

• Attempt to reverse engineer, copy, or exploit any confidential methodologies related to Modification or Direct Services.

• Engage in any form of cyber-attack, hacking, or unauthorized access to the Site or its underlying systems.

4. Financial Terms, Payments, and Guarantees

4.1 Pricing and Quotes

Prices for QBank Services are listed on the Site. Prices for Modification Services and Direct Services are determined individually after a confidential consultation and assessment of the complexity, risk, and target certification. All prices are final and non-negotiable once agreed upon and paid.

4.2 Payment

Payment is typically required in full prior to the commencement of any Modification or Direct Service. The Company reserves the right to use third-party payment processors. You agree to abide by the terms of any payment processing service used.

4.3 Refund and Guarantee Policy

• QBank Services: All sales of digital QBank content are final and non-refundable once access is granted.

• Modification and Direct Services: These services are sold with a Performance Guarantee (a “Pass” or successful licensure). If the agreed-upon result (a verifiable, permanent passing score or certification) is not achieved within the timeframe specified in your individual Service Agreement, the Client will be entitled to a full refund of the fees paid for that specific service.

• No refund is due if the Service is successfully executed but the Client later loses the credential due to their own actions or failure to maintain license requirements.

5. Confidentiality and Intellectual Property

5.1 Confidentiality of Services

Both the Company and the Client acknowledge that all communications, details of the services rendered, methodologies, and technical procedures related to Modification Services and Direct Services are highly confidential and proprietary. You agree not to disclose, publish, or reveal to any third party (including licensing boards or authorities) the nature, terms, or execution of the Services, other than the verifiable, official result (e.g., your passing status or license).

5.2 Intellectual Property (IP)

All content on the Site, including the QBanks, methodology descriptions, logos, graphics, and underlying software, are the exclusive property of the Company and are protected by copyright and intellectual property laws. You are granted a limited, non-transferable license only to use the QBank materials for your personal study purposes. You may not reproduce, distribute, or create derivative works from the content.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

The Company provides all Services on an “as is” and “as available” basis, except for the explicit Performance Guarantee provided for Modification and Direct Services. The Company makes no representations or warranties regarding the legal or regulatory status of the Client or the long-term career outcome resulting from the Services.

6.2 Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, data, or reputation) arising from the use of the Site or the inability to use the Services.

The Company’s total liability to the Client for any claim arising out of this Agreement, whether in contract, tort, or otherwise, is strictly limited to the total amount paid by the Client to the Company for the specific Service in dispute.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of this Agreement, your use of the Site, or your violation of any law or the rights of a third party.

8. Governing Law and Dispute Resolution

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The State of Texas, USA, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration in the USA, in accordance with the rules of the American Arbitration Association (AAA).

9. Miscellaneous

9.1 Changes to Terms

The Company reserves the right to change these Terms and Conditions at any time. The most current version will be posted on the Site and will supersede all previous versions. Your continued use of the Site or Services after any changes constitutes acceptance of the new Terms.

9.2 Entire Agreement

This Agreement, including any linked Privacy Policy or individual Service Agreement, constitutes the entire understanding and agreement between you and the Company concerning the Services and supersedes all prior agreements.
